SERVICE AGREEMENT

     1. SeeDNA Biotech Inc. ("SeeDNA") performs services at the highest professional standard possible. However, if an error occurs related to the technical performance of the experiment provided by our company, SeeDNA will not be responsible for any loss or damages related to other aspects of the project.

     2. SeeDNA is a scientific research service company and accordingly, due to the unpredictable nature of research; there are no guarantees. SeeDNA does not guarantee, warranty or take responsibility for the results or any other related activity that is based on the results of research projects performed by SeeDNA.

     3. SeeDNA will generate results based on materials the customer provides. SeeDNA will not be responsible for any damage resulting from but not limited to, mishandling or contamination of submitted materials caused prior to SeeDNA receiving these materials.

     4. SeeDNA will only be responsible for performing experiments that the customer specifically requests.

     5. The services provided and results generated by SeeDNA will be treated as highly confidential during the term of this agreement. The materials (such as probes, cell lines, antibody, etc.) sent to SeeDNA will only be used for the specific experiments ordered and will not be used for other purposes unless requested by the customer. SeeDNA will not publish, disseminate or otherwise disclose information relating to materials or the results of the experiments.

     6. Complex service or additional experimental methods and materials are subject to additional fees. SeeDNA will inform customers prior to performing this type of service. Interpretations of mapping data in specific projects that SeeDNA has performed a service, are not subject to a separate charge.

    7. The cancellation policy allows for the following charges. If SeeDNA receives an order and the customer cancels an order within 2 weeks of SeeDNA receiving the specimen, then there is a 50% charge of the total costs for processing. If an order is cancelled after the 2-week period then the full charges will still be due to SeeDNA.

     8. Payments due SeeDNA for services rendered will be made within 30 days of the receipt of the invoice. Thereafter, a 2% per month (24% per annum) interest charge will be applied.

     9. The term of this agreement will commence on the date of the signing of this agreement and will extent for one year unless terminated by either party. This agreement will be renewed upon mutual written consent by both parties. In the event that the term of a service order extends beyond the term of this agreement, this agreement will remain in effect and such service order will continue to be governed by the terms and conditions of this agreement.

     10. Termination of this agreement can occur by either party upon a 30-day written notice. Upon expiration or termination of this agreement, the obligation of the parties that by their nature survive any expiration or termination, will survive and continue to be enforceable.

     11. SeeDNA is an independent company and the rendering of service does not create a partnership or joint venture relationship between SeeDNA and any other company, institution or individual.

     12. This agreement constitutes the entire agreement of the parties with regard to its subject matter, and supersedes all previous written or oral representations, agreements (whether expressed in electronic or hardcopy format), and any understandings between the parties. Only a written document signed by authorized representatives of both parties may change this agreement.
